PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE MODULA WEBSITE AND/OR PURCHASING PRODUCTS OR SERVICES FROM MODULA (THE “SITE” OR THE “SERVICES”), YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THE “TERMS”). IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SITE OR PURCHASE PRODUCTS OR SERVICES.


1. Who We Are

Modula (“Modula,” “we,” “us,” or “our”) operates the Site and offers products and related services through the Site. These Terms, together with our Privacy Policy (available at [link to Modula Privacy Policy]), govern your use of the Site, any purchases you make, and your relationship with Modula.


2. Scope; Acceptance

These Terms apply to all users of the Site, including browsers, customers, merchants, and contributors of content. By using the Site, creating an account, or placing an order you represent that you have read, understand, and agree to these Terms and any policies referenced herein. We may modify these Terms at any time; changes will be effective when posted to the Site. Your continued use after changes are posted constitutes acceptance of the revised Terms.


3. Eligibility

The Site and Services are intended for users who are at least 18 years old. If you are under 18, you may use the Site only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.


4. Account Registration

If you register for an account you agree to:

  • Provide accurate, current, and complete information.
  •  Maintain and promptly update your account information.
  • Keep your password and account credentials secure and confidential.
  • You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.


5. Online Store Terms

  • All orders are subject to acceptance and availability. An order confirmation email does not necessarily mean your order has been accepted; acceptance occurs when we ship the product or otherwise confirm acceptance.
  • We reserve the right to limit quantities, refuse service, or cancel orders at our discretion.
  • Prices shown are in U.S. dollars (unless otherwise stated) and exclude applicable taxes, shipping, duties and other fees, which will be added at checkout.
  • Payment is due at the time of order. We accept the payment methods displayed at checkout. By submitting payment information you represent and warrant that you are authorized to use the payment method and that the payment details are accurate.
  • We may perform authorization checks and fraud screening; orders are not shipped until payment authorization is successful.


6. Shipping; Pickup; Delivery (Expanded)

Processing time: Orders are typically processed and shipped within 1–3 business days after payment authorization unless otherwise specified on the product page. During peak seasons or promotions processing may take longer.

Shipping methods: We offer standard, expedited, and overnight shipping where available. Available carriers (e.g., USPS, UPS, FedEx, DHL) and options will be shown at checkout. Shipping estimates provided at checkout are estimates only.

Shipping charges: Shipping fees shown at checkout reflect the selected shipping method and destination. Shipping charges are non-refundable except where required by law or where we have agreed to cover return shipping.

Domestic delivery: Estimated transit times are provided at checkout. Delivery dates are estimates and may be delayed by carrier processing, customs, weather, strikes, natural disasters, public health emergencies, or other events outside our control.

International delivery: Import duties, taxes, customs clearance, and other fees may apply and are the responsibility of the recipient. We may be required to provide customs documentation that includes the value of goods and descriptions. We are not responsible for customs delays or additional duties.

Risk of loss: Title and risk of loss pass to you upon delivery to the shipping address you provided to us (or to the carrier if you arrange carrier pickup). If you refuse delivery or provide an incorrect shipping address that results in non-delivery, you remain responsible for payment and any additional shipping costs.

Signature and age verification: For certain orders, we may require an adult signature or age verification upon delivery.

Pickup and local delivery: Where local pickup or local delivery is offered, pickup/delivery instructions and time windows will be provided at checkout and in email confirmations. You must present valid ID for pickup if required.

Lost or damaged shipments: If a shipment appears lost, delayed, or delivered but damaged, contact us immediately at legal@bemodula.com with your order number and photos (where applicable). For damaged-in-transit claims, you must retain packaging and damaged items for carrier inspection. We will cooperate with carriers to resolve claims. If required, we may request that you complete a damage claim form.

Shipping insurance: We may offer optional shipping insurance at checkout. If you decline insurance, claims for loss or damage will be handled according to the carrier’s terms and may be more limited.

Force majeure: Delivery and performance timelines do not apply to delays caused by events beyond our reasonable control (e.g., natural disasters, strikes, pandemics, governmental actions).


7. Returns, Exchanges & Refunds 

Return window: Unless otherwise stated on the product page, most new, unused items in their original packaging may be returned within 30 days from the date of delivery for a refund or exchange. Some categories may have longer or shorter return periods as described on the product page.

Eligibility and condition: To be eligible for a full refund, returned items must be in substantially the same condition as received — unused, unwashed, undamaged, with all tags and original packaging included. We may refuse returns or charge a restocking fee for items that are damaged, show signs of use, missing original packaging, or are otherwise not in sellable condition.

Final sale and exceptions: Certain products are final sale and cannot be returned—examples include personalized/customized items, perishable goods, opened hygiene or personal-care items, clearance/final markdowns, and proprietary or licensed goods where return is prohibited. Final sale items will be clearly marked on the product page.

Return authorization (RMA): To return an item, you must request a return authorization through the returns portal on our Site or contact customer service at legal@bemodula.com. Returns sent to us without authorization may be refused or delayed.

Return shipping costs: Unless the return is due to our error (e.g., wrong item shipped, defective product), you are responsible for return shipping costs. For returns you are responsible for, we recommend using a trackable shipping service and purchasing shipping insurance; we are not responsible for lost return shipments.

Exchanges: If you request an exchange for a different size or model and the replacement item is available, we will process an exchange following the same procedures as returns and shipments. Price differences apply if the exchanged item has a different price.

Refund processing: Once we receive and inspect your return, we will notify you of receipt and the status of your refund. Approved refunds will be issued to the original payment method within 7–10 business days of receipt and inspection; timing for the funds to appear depends on your payment provider. Shipping charges and customs/duties are generally non-refundable except where required by law or where we have accepted responsibility for the return.

Defective or damaged items: If your item is defective or damaged upon receipt, contact us immediately at legal@bemodula.com with photos and order details. We will provide instructions for return and, at our option, will replace the product, offer store credit, or issue a refund. For certain high-value or complex items we may require additional inspection or third-party evaluation.

International returns: International customers are responsible for customs clearance and any return duties or taxes unless otherwise specified. For cross-border returns the process may take longer.

Restocking fee: In limited circumstances (e.g., bulky custom-stocked goods returned without defect), we may charge a restocking fee; any such fee will be disclosed when you request authorization to return.

Proof of purchase: Returns require a receipt, packing slip or order number. We may deny returns without proof of purchase.

Fraud prevention: We reserve the right to refuse returns that we reasonably suspect are fraudulent or abusive of our return policy.

Refund disputes: If you disagree with the outcome of a return inspection, contact customer service at legal@bemodula.com. For legal disputes related to consumer protections in your jurisdiction, local laws may provide additional remedies.


8. Product Information; Pricing Errors

We make reasonable efforts to display product images and descriptions accurately, but we do not guarantee that your device will display colors or details exactly. Occasionally pricing or typographical errors may occur. If an item is mispriced, we may cancel the order and notify you; where payment was taken we will refund amounts charged to your payment method.


9. Taxes and Import Duties

You are responsible for any taxes, duties, import fees or customs charges applicable to your purchase and shipment destination. Where required, we may collect taxes at checkout. We do not control tariffs or customs policies; any such fees are determined by the destination country and applicable laws.


10. Use of the Site; Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. Prohibited activities include, without limitation:

  • Violating any applicable laws or third-party rights.
  • Uploading or transmitting viruses, malware, or other harmful code.
  • Attempting to gain unauthorized access to the Site, accounts, or systems.
  • Scraping, crawling, harvesting, or otherwise extracting data without our express written permission.
  • Interfering with the security or proper functioning of the Site.
  • We reserve the right to suspend or terminate access for violations.


11. User Content; License to Modula

You may be able to submit reviews, photos, messages, ideas, or other content (“User Content”). You retain ownership of anything you post, but by submitting User Content you grant Modula and its partners an irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display such User Content for any purpose, including marketing and promotional activities, in any media now known or later developed. You represent and warrant that you have all rights necessary to grant this license and that use of your User Content will not violate the rights of any third party.


12. Intellectual Property

All content on the Site — including text, graphics, logos, images, product designs, software, and other materials — is the property of Modula or its licensors and protected by copyright, trademark, and other laws. You may view, print, and download content for your personal, non-commercial use only. Except as expressly permitted, you may not copy, reproduce, republish, upload, post, transmit, or distribute any material from the Site without Modula’s prior written consent.


13. Third-Party Links and Services

The Site may include links to third-party websites, services or resources. Modula is not responsible for the availability, content, products, or services of those third parties, nor for any loss or damage resulting from your use of them. Your transactions with third parties are solely between you and the third party.


14. Privacy

Your submission of personal information is governed by our Privacy Policy, which explains how we collect, use, share, and protect your information and how to exercise privacy rights (including opt-outs where applicable). By using the Site you consent to such processing and transfers of your information as described in the Privacy Policy.


15. Security

We implement commercially reasonable technical and organizational measures to protect the security of your information. However, no system is completely secure. You acknowledge and accept the risks of transmitting information over the internet and agree that Modula is not liable for unauthorized access to your information except as required by law.


16. Warranties; Disclaimer

THE SITE, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MODULA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MODULA DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.


17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MODULA OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR PRODUCTS PURCHASED THROUGH THE SITE, EVEN IF MODULA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MODULA’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO MODULA FOR THE TRANSACTION GIVING RISE TO THE CLAIM OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS GREATER, EXCEPT WHERE APPLICABLE LAW REQUIRES A DIFFERENT LIMIT.


18. Indemnification

You agree to indemnify, defend and hold Modula and its affiliates, officers, directors, employees and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site, your User Content, your violation of these Terms, or your violation of any rights of another.


19. Dispute Resolution; Arbitration and Class Action Waiver

If you are a resident of the United States, you and Modula agree to attempt to resolve any dispute informally first by contacting us at legal@bemodula.com. If we cannot resolve the dispute informally within a reasonable time, you and Modula agree that any dispute, claim or controversy arising out of or relating to these Terms, your use of the Site, or products purchased through the Site shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as stated below. The arbitration will be conducted in the county in which you reside or in New York County (Manhattan), New York, at Modula’s option. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.


YOU AND MODULA EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. The arbitration agreement does not apply to claims for which you may seek preliminary injunctive relief in court to stop infringement or unauthorized use of intellectual property rights. Small claims court proceedings are not subject to this arbitration clause.


Notwithstanding the above, if a court determines the class action waiver is unenforceable, that portion will be severed and the remaining provisions will apply.


20. Governing Law and Venue 

These Terms and any disputes arising out of or related to them will be governed by the laws of the State of New York without regard to conflict of law principles, except where local mandatory law requires otherwise. To the extent a dispute is not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in New York County (Manhattan), New York.


If you are a consumer residing in New York, you may have additional rights under applicable New York laws and regulations that cannot be waived by contract. Nothing in these Terms is intended to limit those rights where such limitation would be unenforceable under New York law.


21. Termination

We may suspend or terminate your access to the Site at any time for violation of these Terms or for any lawful reason. Termination does not relieve you of obligations incurred prior to termination, including payment obligations and any provisions intended to survive termination (for example, Sections 11, 12, 16–19, and 23).


22. Severability; No Waiver

If any provision of these Terms is held invalid, the remainder will remain in full force and effect. Failure by Modula to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.


23. DMCA and Copyright Claims

If you believe your copyrighted work has been used on the Site in a way that constitutes copyright infringement, please provide a written notice that complies with the Digital Millennium Copyright Act (DMCA) to Modula’s designated agent. You can submit a DMCA notice to: legal@bemodula.com (or via the physical mailing address shown below). The notice should include the information set forth in the DMCA (identification of the copyrighted work, location of the infringing material, contact information, a statement of good faith, and a signature).


24. Miscellaneous

  • Assignment: You may not assign your rights or delegate your obligations under these Terms without Modula’s prior written consent. Modula may assign these Terms in whole or in part.
  • Notices: We will provide notices to the email address you provide or by posting on the Site. You may contact us at legal@bemodula.com for general inquiries.
  • Entire Agreement: These Terms (together with any policies referenced herein) constitute the entire agreement between you and Modula regarding the Site and supersede all prior agreements.
